Terms of Use

These Terms of Use ("Terms") form a binding agreement between you and DIMBER ("we," "us," or "our") governing your access to and use of dimber.co, our shop at shop.dimber.co, and any related services, distribution tools, or applications we operate (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services. If you have questions, contact us at support@dimber.co.

Who owns my music? You retain ownership of your content. You grant us a limited license to distribute, reproduce, and promote it as needed to provide the Services. See Your Content and License to Us.

How do royalties work? We collect royalties from distribution partners and pay them out on the schedule and terms set out in your artist agreement or, where none exists, this document. See Royalties and Payments.

What can't I do on the Services? You may not upload content you don't have the rights to, infringe intellectual property, commit fraud, or misuse our platform. See Prohibited Conduct.

What if something goes wrong? The Services are provided "as is," and our liability is limited as described in Disclaimers and Limitation of Liability.

1. The Services

In ShortDIMBER distributes music to digital platforms and provides related rights, royalty, and promotional services.

DIMBER is an independent music distribution company. Through the Services we may provide:

  • Delivery of audio and associated metadata to digital streaming platforms and other outlets ("DSPs")
  • Royalty collection, reporting, and payout on your behalf
  • Rights and metadata management, including ISRC/UPC assignment and quality control
  • Roster curation, A&R support, and playlist pitching
  • Sync and licensing introductions
  • Branded merchandise fulfilled through our storefront

We may add, modify, or discontinue any part of the Services at our discretion, and we will make reasonable efforts to notify you of material changes affecting active releases or agreements.

2. Eligibility and Accounts

In ShortYou must be old enough to form a binding contract and must give us accurate information when you register.

To use the Services, you must be at least 18 years old, or the age of majority in your jurisdiction, or have the consent of a parent or legal guardian. By using the Services you represent that you meet this requirement and that you have the authority to enter into these Terms — including, where applicable, on behalf of a label, artist, or organization.

When you create an account, you agree to provide accurate, current, and complete information, and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@dimber.co if you suspect unauthorized use of your account.

3. Your Content and License to Us

In ShortYou keep ownership of your music. You grant us the rights we need to distribute, store, and promote it.

Ownership. As between you and DIMBER, you retain all right, title, and interest in and to the recordings, compositions, artwork, metadata, and other material you submit to us ("Content"). Nothing in these Terms transfers ownership of your Content to DIMBER.

License grant. By submitting Content, you grant DIMBER a non-exclusive, worldwide, royalty-free license to reproduce, distribute, transmit, publicly perform and display, and otherwise make your Content available through DSPs and other outlets, and to use your name, likeness, and promotional materials to market and pitch your releases, for as long as your Content is actively distributed through us.

Your warranties. You represent and warrant that you own or control all necessary rights in your Content, that distributing it through the Services will not infringe any third party's intellectual property or other rights, and that all metadata, credits, and splits you provide are accurate and complete.

Removal. You may request removal or takedown of your Content from active distribution at any time, subject to any minimum term in your artist agreement and any processing time required by individual DSPs.

4. Royalties and Payments

In ShortWe collect royalties from DSPs and pay you out according to your agreement with us.

Where DIMBER collects royalties or other revenue generated by your Content, we will report and pay out such revenue net of any distribution fees, revenue shares, or costs agreed between you and DIMBER, on the schedule set out in your artist agreement or, where none has been separately signed, on a monthly basis in arrears.

Royalty statements are based on data reported to us by DSPs and other partners, which we do not independently audit. If you believe a statement is inaccurate, notify us within a reasonable time so we can investigate with the relevant partner. We are not responsible for reporting errors, delays, or non-payment caused by a third-party DSP or partner.

Payments may be subject to minimum payout thresholds, applicable taxes, and currency conversion. You are responsible for providing accurate payment details and for any tax obligations arising from payments made to you.

5. Prohibited Conduct

In ShortDon't upload content you don't have rights to, manipulate streaming activity, or misuse the Services.

When using the Services, you agree not to:

  • Upload or distribute Content that infringes any copyright, trademark, or other intellectual property right
  • Submit false, misleading, or incomplete metadata, credits, or ownership information
  • Engage in or facilitate streaming fraud, click farms, bots, or other artificial manipulation of streams, downloads, or engagement
  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to our systems, other users' accounts, or non-public areas of the Services
  • Interfere with or disrupt the integrity or performance of the Services
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

We reserve the right to remove Content, suspend accounts, withhold royalties pending investigation, and take other action reasonably necessary to address violations of this section, including reporting suspected fraud to DSPs and relevant authorities.

6. Our Intellectual Property

In ShortThe DIMBER brand, platform, and site content belong to us.

Except for Content you submit, the Services — including our name, logo, website design, software, and platform tools — are owned by DIMBER or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Services without our prior written consent.

7. Third-Party Services and Links

In ShortWe work with DSPs and other partners we don't control, and our site may link to third-party sites.

The Services rely on and interoperate with third-party platforms, including DSPs, payment processors, and our merchandise storefront. We are not responsible for the availability, content, policies, or practices of any third-party service, and your use of them may be subject to separate terms. Links to third-party websites are provided for convenience and do not constitute an endorsement.

8. Term and Termination

In ShortEither party may end the relationship; some obligations survive termination.

These Terms remain in effect while you use the Services. You may stop using the Services and request account closure at any time by contacting support@dimber.co, subject to any separate artist agreement's terms regarding active releases.

We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, or if required to do so by a DSP or applicable law. Provisions relating to ownership, royalties already accrued, disclaimers, limitation of liability, and dispute resolution survive termination.

9. Disclaimers

In ShortThe Services are provided "as is," without guarantees of uninterrupted or error-free operation.

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, that DSPs will accept or continue to carry your Content, or that any particular level of streams, revenue, or promotional outcome will result from using the Services.

10. Limitation of Liability

In ShortOur liability to you is limited to the greatest extent permitted by law.

To the fullest extent permitted by applicable law, DIMBER and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Services. Our total aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed the amount of fees paid by you to DIMBER in the twelve (12) months preceding the claim, or one hundred US dollars (US$100), whichever is greater. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

11. Indemnification

In ShortYou agree to cover losses we incur because of your Content or your misuse of the Services.

You agree to indemnify, defend, and hold harmless DIMBER and its officers, employees, and partners from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your Content, your breach of these Terms, or your violation of any law or third-party right.

12. Governing Law and Dispute Resolution

In ShortThese Terms are governed by the laws of Kenya, and we encourage resolving disputes informally first.

These Terms are governed by the laws of the Republic of Kenya, without regard to conflict-of-law principles. If a dispute arises out of or relating to these Terms or the Services, you agree to first contact us at support@dimber.co so we can attempt to resolve it informally. If we are unable to resolve the dispute within a reasonable time, either party may pursue any remedy available under applicable law, subject to the courts of Kenya having jurisdiction unless otherwise required by mandatory local law where you reside.

13. Changes to These Terms

In ShortWe may update these Terms, and we'll change the "Last updated" date when we do.

We may revise these Terms from time to time. The updated version will be indicated by a revised "Last updated" date at the top of this page. If we make material changes, we may notify you by prominently posting a notice on the Services or by direct communication. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

14. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision will not be considered a waiver of that right. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, together with any artist or partner agreement you have signed with us, constitute the entire agreement between you and DIMBER regarding the Services.
